The terms governing access to and use of the DeGNZ Labs website, Cervo software platform, forms, downloadable resources, subscriptions, and related digital services.

Acceptance of these terms

These Terms & Conditions govern access to and use of:

  • the DeGNZ Labs website and its public pages, forms, resources, and digital experiences;
  • Cervo, including its web application, workspaces, Organizational Brains, Knowledge, Skills, Memory, MCP Gateway, billing features, support features, and related services;
  • any other product or digital service that expressly incorporates these Terms & Conditions.

By accessing the website, creating an account, accepting an invitation, using Cervo, submitting a form, starting a subscription, or otherwise using a covered service, you agree to be bound by these Terms & Conditions.

If you use Cervo or another service on behalf of a company, organization, or other legal entity, you confirm that you have authority to bind that entity to these Terms & Conditions. In that case, "you" and "Customer" refer to that entity and its authorized users.

If you do not agree to these Terms & Conditions, you must not use the website or Cervo.

Who we are

For the purposes of these Terms & Conditions, "DeGNZ Labs," "we," "our," and "us" refer to DeGNZ Labs SARL, based in Meknes, Morocco.

Cervo is a software product owned and operated by DeGNZ Labs SARL.

Definitions

In these Terms & Conditions:

  • Authorized User means an individual permitted by a Customer to access or use a Cervo Workspace.
  • Customer means the person, company, organization, or other legal entity that purchases, creates, administers, or uses a Cervo Workspace.
  • Customer Content means documents, files, text, data, policies, instructions, Knowledge, Skills, Memory, prompts, configurations, and other material submitted to or processed through Cervo by or for a Customer.
  • Cervo means the organizational intelligence and governance software platform operated by DeGNZ Labs.
  • External AI Service means an AI model, assistant, agent, application, or service operated by a third party and connected to Cervo, including through MCP.
  • MCP means the Model Context Protocol or a compatible protocol used to connect approved AI clients and agents to governed Cervo resources.
  • Order means a subscription, plan purchase, renewal, upgrade, or other paid transaction for Cervo.
  • Plan means the subscription tier, features, limits, billing interval, and commercial conditions displayed at checkout, in Cervo, on the pricing page, in an Order, or in a separate written agreement.
  • Workspace means the Customer environment in Cervo through which users, Brains, permissions, resources, endpoints, and subscription access are managed.

Eligibility and business use

You may use the website and Cervo only if:

  • you are at least 18 years old;
  • you have legal capacity to enter into these Terms & Conditions;
  • any information you provide is accurate and current;
  • you are legally permitted to use the service;
  • where you act for an organization, you are authorized to do so.

Cervo is designed primarily for business, professional, and organizational use.

Nothing in these Terms & Conditions limits any mandatory consumer right that cannot lawfully be excluded or restricted.

Description of Cervo

Cervo is a B2B software-as-a-service platform designed to help organizations structure, govern, and provide controlled access to organizational intelligence used by AI systems.

Depending on the applicable Plan and configuration, Cervo may allow Customers to:

  • create and manage Organizational Brains;
  • organize Root Policies, Knowledge, Skills, and governed Memory;
  • define member, role, folder, Brain, endpoint, and resource permissions;
  • connect approved AI clients and agents through MCP;
  • review versions, activity, proposals, and governed changes;
  • manage subscription entitlements, capacity, and usage;
  • access related onboarding, support, and administrative features.

Cervo is an infrastructure and governance product. It is not itself a substitute for third-party AI models, AI clients, professional judgment, or human review.

Features may differ by Plan, geography, deployment, availability, or written agreement.

Accounts and Workspace administration

You are responsible for:

  • maintaining accurate account and organization information;
  • safeguarding authentication methods, credentials, recovery methods, and devices;
  • all activity performed through your account, except to the extent caused directly by our breach;
  • ensuring that only authorized individuals access the Workspace;
  • assigning appropriate roles, permissions, Brain access, folder access, MCP endpoints, and connected-member access;
  • promptly removing users and connections that no longer require access;
  • notifying us without undue delay if you suspect unauthorized access, credential compromise, or security misuse.

Workspace owners and administrators may manage users, roles, resources, permissions, subscriptions, and connected services on behalf of the Customer.

The Customer is responsible for the actions and omissions of its Authorized Users and for ensuring their compliance with these Terms & Conditions.

Customer Content

The Customer retains ownership of Customer Content.

You grant DeGNZ Labs and its service providers a limited, non-exclusive right to host, copy, store, transmit, process, display, secure, back up, and otherwise use Customer Content only as reasonably necessary to:

  • provide, maintain, secure, and improve the contracted service;
  • respond to support requests;
  • prevent fraud, abuse, or security incidents;
  • comply with applicable law and valid legal requests;
  • perform obligations expressly authorized by the Customer.

This permission does not transfer ownership of Customer Content to DeGNZ Labs.

You represent and warrant that:

  • you own Customer Content or have all permissions required to use and submit it;
  • your use of Customer Content through Cervo does not violate law, contract, confidentiality obligations, intellectual property rights, privacy rights, or other third-party rights;
  • you have a lawful basis and appropriate authorization to make Customer Content available to Authorized Users, Cervo, and any connected External AI Service.

You must not submit Customer Content that you are not authorized to disclose or process.

Sensitive and regulated information

Cervo is not intended to serve as a substitute for systems specifically certified or contractually approved for highly regulated, classified, or legally restricted information.

Unless expressly agreed in writing, you must not use Cervo to store or process:

  • payment-card data;
  • authentication secrets, private keys, passwords, or unrestricted access tokens;
  • classified government information;
  • information whose processing requires a specific certification, regulated hosting environment, or contractual safeguard that DeGNZ Labs has not expressly agreed to provide;
  • unlawful, stolen, or unauthorized personal or confidential data.

You are responsible for determining whether Cervo is appropriate for your legal, regulatory, contractual, security, and organizational requirements.

AI systems, MCP, and connected services

Cervo may allow Customers to connect External AI Services through MCP or other supported integrations.

When you connect an External AI Service:

  • Customer-selected information may be transmitted to or accessed by that third party according to the permissions and configuration you establish;
  • the third party's own terms, privacy policy, security practices, data-processing rules, and technical limitations also apply;
  • DeGNZ Labs does not control the third party's models, infrastructure, availability, output, retention practices, or independent use of data;
  • you remain responsible for deciding which users, Brains, resources, endpoints, and permissions the External AI Service may access;
  • you must not connect an AI system to information you are not authorized to share with it.

AI-generated responses, recommendations, summaries, classifications, proposals, or actions may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular purpose.

You must apply appropriate human review before relying on AI output for material business, legal, financial, employment, compliance, security, medical, safety, or operational decisions.

DeGNZ Labs does not guarantee the quality, accuracy, legality, or suitability of output generated by an External AI Service.

Governed Memory and human review

Cervo may support controlled, manual, disabled, or other Memory modes.

Where human approval is required:

  • AI-generated Memory proposals remain drafts until approved by an authorized reviewer;
  • draft, rejected, expired, archived, superseded, or otherwise inactive Memory must not be treated as authoritative active Memory;
  • only authorized users may approve, reject, update, archive, or promote governed Memory;
  • Customer Content, Knowledge, and approved policy may take priority over Memory according to the applicable Brain configuration;
  • the Customer remains responsible for reviewing Memory accuracy, authority, scope, sensitivity, and continued relevance.

Cervo does not guarantee that a Memory proposal is correct merely because it was generated, stored, displayed, or approved.

Plans, subscriptions, and entitlements

Paid access to Cervo is provided according to the applicable Plan.

The Plan, price, billing interval, currency, included features, usage allowances, limits, and renewal terms are those displayed:

  • on the applicable pricing page;
  • in Paddle Checkout;
  • in the Order summary;
  • in the Cervo billing interface;
  • in a valid written Order Form or enterprise agreement.

Plan limits may include, without limitation:

  • editors or administrative users;
  • Authorized Users or connected members;
  • Organizational Brains;
  • MCP endpoints;
  • storage;
  • features;
  • support scope;
  • fair-use or technical safeguards.

We may enforce Plan limits by restricting the creation of new resources, new connections, new invitations, additional usage, or access to features.

A downgrade or over-limit state does not necessarily result in immediate deletion of existing Customer Content. However, access, editing, connection, creation, or administrative capabilities may be restricted until usage returns within the applicable limits or the Customer upgrades.

Enterprise, custom, internal, promotional, beta, or manually provisioned Plans may be subject to separate terms.

Orders, Paddle, taxes, and invoicing

Orders are processed by Paddle.com, our online reseller and Merchant of Record. Paddle handles payment-related customer service and returns.

By completing an Order through Paddle, you also agree to the applicable Paddle Buyer Terms and Paddle Refund Policy presented during checkout or made available by Paddle.

Paddle may:

  • process payment;
  • calculate, collect, and remit applicable taxes;
  • issue receipts, invoices, and credit notes;
  • manage payment authentication, fraud screening, renewals, cancellations, and payment-method updates;
  • handle payment-related inquiries, disputes, and refunds.

DeGNZ Labs provides and supports the Cervo product. Paddle processes the commercial transaction as Merchant of Record.

Prices may exclude taxes until Paddle calculates them based on the information and location associated with the Order.

You must provide accurate billing, tax, company, and contact information.

We do not receive or store full payment-card details processed by Paddle.

Automatic renewal and recurring charges

Unless otherwise stated at checkout or in a written agreement, Cervo subscriptions automatically renew for successive periods equal to the selected billing interval until cancelled.

By purchasing a subscription, you authorize Paddle to charge the applicable recurring subscription fees and taxes to the selected payment method.

You are responsible for maintaining a valid payment method and current billing information.

Where required by law, Paddle or DeGNZ Labs may send renewal, price-change, or other billing notices.

If a recurring payment fails, Paddle and DeGNZ Labs may retry payment, request updated payment information, restrict access, suspend the Workspace, or cancel the subscription.

Upgrades and downgrades

An upgrade may take effect immediately or as presented during checkout, and Paddle may charge a prorated or otherwise calculated amount.

A downgrade may take effect immediately, at the end of the current billing period, or as otherwise shown in the billing interface or Order summary.

A downgraded Workspace may retain existing resources while being prevented from creating additional resources or using functionality above the new Plan limits.

Any specific upgrade, downgrade, credit, or proration treatment displayed at checkout or in the billing interface forms part of the applicable Order.

Cancellation

You may cancel a Cervo subscription through the Paddle buyer portal, through an available Cervo billing interface, or by contacting the support address listed in these Terms & Conditions.

Unless applicable law or the Order states otherwise:

  • cancellation takes effect at the end of the current paid billing period;
  • access continues until that period ends;
  • the subscription will not renew after cancellation takes effect;
  • cancellation does not automatically generate a refund for the current period;
  • you remain responsible for charges incurred before cancellation becomes effective.

You should cancel before the next renewal date to avoid a further recurring charge.

Refund policy

This section forms the refund policy for Cervo.

Except where required by applicable law, Paddle's applicable buyer terms, or this section, subscription fees and other charges are non-refundable and non-exchangeable.

A refund request should be submitted within 30 days of the initial purchase or the relevant renewal by:

Submitting a request does not guarantee a refund.

Refund requests are reviewed case by case. Relevant factors may include:

  • whether the request concerns an initial purchase or renewal;
  • the reason for the request;
  • the amount of product usage;
  • whether a duplicate or incorrect charge occurred;
  • whether a persistent technical issue or material product defect prevented reasonable access to the purchased service;
  • whether DeGNZ Labs had a reasonable opportunity to investigate or resolve the issue;
  • legal rights that cannot be excluded.

Where appropriate, DeGNZ Labs may authorize Paddle to issue a full or partial refund. Refunds are processed through Paddle and not paid directly by DeGNZ Labs to the payment method holder.

Refunds are normally not granted for:

  • unused time after a voluntary cancellation;
  • failure to cancel before renewal;
  • dissatisfaction caused primarily by a third-party External AI Service;
  • Customer configuration, permissions, connectivity, or environment issues outside DeGNZ Labs' reasonable control;
  • violation of these Terms & Conditions;
  • use substantially beyond evaluation or onboarding;
  • a change of preference after substantial use.

Nothing in this section limits mandatory withdrawal, refund, consumer, or product-defect rights that apply under law or Paddle's applicable buyer terms.

If Cervo has a persistent material technical defect that prevents access to the features materially described for the purchased Plan, you should contact DeGNZ Labs first so that we may investigate and attempt to remedy the issue.

Free trials, previews, and beta features

We may offer trials, previews, experiments, or beta functionality.

Unless expressly stated otherwise:

  • these features may be incomplete, changed, suspended, or discontinued at any time;
  • they may contain errors or have reduced availability;
  • they are provided for evaluation;
  • no service level, continued availability, or production suitability is guaranteed;
  • usage may be subject to additional limits.

We may convert a trial into a paid subscription only according to the terms presented when the trial begins and any consent required by law.

Support

Cervo support is available through the in-app Help & Support flow or by email at yassir@degnz.studio.

Unless a Plan, Order Form, or separate written agreement expressly states otherwise:

  • support is provided on a commercially reasonable basis;
  • no guaranteed response or resolution time applies;
  • support does not include custom development, legal advice, security certification, migration services, or management of third-party AI services;
  • we may request reasonable diagnostic information necessary to investigate an issue.

Support submissions must not include passwords, secret keys, unrestricted tokens, full payment-card details, or other unnecessary sensitive information.

Acceptable use

You must not use the website, Cervo, or related services to:

  • violate any applicable law, regulation, court order, sanction, or third-party right;
  • submit false, misleading, fraudulent, stolen, or unauthorized information;
  • infringe intellectual property, privacy, confidentiality, publicity, or contractual rights;
  • access, expose, distribute, or process information without authorization;
  • transmit malware, ransomware, spyware, destructive code, spam, or abusive content;
  • impersonate another person, company, authority, or service;
  • facilitate fraud, credential theft, phishing, unauthorized surveillance, or unlawful discrimination;
  • test, probe, scan, overload, disrupt, scrape, reverse engineer, or interfere with the service without prior written authorization;
  • bypass authentication, access controls, Plan limits, rate limits, billing controls, security mechanisms, or governance workflows;
  • share accounts or credentials in a way that defeats user-level access controls;
  • use Cervo to operate an External AI Service beyond the permissions granted by the Customer;
  • use automated means that impose unreasonable load or create security or operational risk;
  • resell, sublicense, white-label, or make Cervo available to third parties unless authorized in writing;
  • use the service to develop or improve a directly competing product through systematic extraction, copying, or unauthorized benchmarking;
  • remove proprietary notices or misrepresent the source of DeGNZ Labs content.

You must cooperate with reasonable investigations into suspected misuse, security incidents, or legal violations.

Website forms, demo requests, and submissions

When you submit a form, request a demo, subscribe to communications, download a resource, request guided onboarding, or contact support, you agree that:

  • the information you provide is accurate;
  • you are authorized to provide it;
  • we may use it to respond to the request and administer the relationship;
  • you will not submit confidential third-party information or regulated data that is unnecessary for the request.

Submitting a form, scheduling a demo, or requesting guided onboarding does not create a client relationship, partnership, fiduciary duty, exclusive engagement, guaranteed activation, or guaranteed commercial outcome.

Website content and availability

We may update, revise, suspend, remove, replace, or restrict any page, feature, resource, form, product description, visual element, public material, or service.

We do not guarantee that the website, Cervo, or any related service will always be available, uninterrupted, secure, compatible, or error-free.

Planned or emergency maintenance may affect availability.

We may change technical requirements, integrations, supported clients, limits, interfaces, workflows, or features where reasonably necessary for security, compliance, product development, or service operation.

No binding offer

Public statements about products, features, assessments, pricing direction, deployment models, roadmaps, integrations, or future capabilities are provided for informational and commercial communication purposes.

They do not constitute a binding offer, guarantee, service level, warranty, or enforceable commitment unless expressly included in an Order or separate written agreement.

Intellectual property

DeGNZ Labs and its licensors retain all rights, title, and interest in and to:

  • Cervo software, source code, architecture, interfaces, workflows, and documentation;
  • DeGNZ Labs and Cervo trademarks, logos, names, and brand assets;
  • product descriptions, product narratives, strategic frameworks, templates, and visual systems;
  • downloadable resources, assessments, documents, and original public content;
  • generic Skills, examples, libraries, and product materials supplied by DeGNZ Labs;
  • improvements, updates, and derivative works of the foregoing.

Subject to these Terms & Conditions and payment of applicable fees, DeGNZ Labs grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Cervo during the applicable subscription period for the Customer's internal business purposes.

Except as expressly permitted, you may not:

  • copy, modify, republish, distribute, sell, lease, sublicense, or commercialize Cervo or DeGNZ Labs content;
  • reverse engineer, decompile, disassemble, or attempt to discover source code or underlying non-public methods;
  • create derivative products from the service;
  • use the service beyond the purchased Plan or authorized scope;
  • transfer access to an unrelated third party.

All rights not expressly granted are reserved.

Feedback

If you provide suggestions, ideas, recommendations, or other feedback, you grant DeGNZ Labs a perpetual, worldwide, irrevocable, royalty-free right to use that feedback to improve, develop, market, and operate its products and services.

This does not authorize DeGNZ Labs to publicly disclose your confidential information.

Confidentiality

Each party may receive non-public commercial, technical, financial, organizational, or strategic information from the other party.

The receiving party must:

  • use Confidential Information only for the relationship governed by these Terms & Conditions;
  • protect it using reasonable care;
  • disclose it only to personnel and service providers who need it and are bound by appropriate confidentiality obligations;
  • not disclose it to third parties except as authorized or legally required.

These obligations do not apply to information that the receiving party can demonstrate:

  • is or becomes public without breach;
  • was lawfully known without confidentiality restriction;
  • is received lawfully from another source without confidentiality restriction;
  • is independently developed without use of the other party's Confidential Information.

A party may disclose Confidential Information when legally required, provided it gives notice where legally permitted.

Privacy and data protection

Our processing of personal information is governed by the applicable DeGNZ Labs Privacy Policy.

The Customer is responsible for determining its own role and obligations under applicable privacy and data-protection law, including the lawfulness of Customer Content and instructions provided to DeGNZ Labs.

Where required and agreed, the parties may enter into a separate Data Processing Agreement.

We may use subprocessors and service providers to operate Cervo, including providers of hosting, authentication, email, billing, monitoring, storage, and infrastructure.

The Customer remains responsible for reviewing the privacy implications of each External AI Service it chooses to connect.

Third-party services

The website and Cervo may integrate with or link to third-party services, including AI providers, analytics providers, scheduling tools, authentication providers, hosting environments, communication platforms, billing systems, and other external services.

Third-party services are governed by their own terms and policies.

DeGNZ Labs is not responsible for:

  • the availability, output, security, legality, performance, or conduct of a third-party service;
  • changes made by a third-party provider;
  • loss or disclosure resulting from Customer-authorized transmission to a third-party service;
  • a third party's refusal, suspension, or termination of service;
  • incompatibility caused by external changes outside our reasonable control.

Security

We use reasonable administrative, technical, and organizational measures designed to protect Cervo and Customer Content.

No service, transmission method, integration, storage system, or security control can be guaranteed to be completely secure.

The Customer is responsible for:

  • selecting appropriate users, roles, permissions, Brains, folders, endpoints, and connected services;
  • protecting credentials and devices;
  • implementing internal security and access-management policies;
  • promptly revoking unnecessary access;
  • maintaining appropriate backups or exports where available and required by its own policies.

You must notify us promptly of suspected misuse or security incidents involving Cervo.

Suspension and enforcement

We may restrict, suspend, or terminate access to the website, Cervo, a Workspace, an account, a connection, or a feature where we reasonably believe that:

  • these Terms & Conditions have been breached;
  • payment is overdue or unsuccessful;
  • the use creates legal, security, fraud, operational, or reputational risk;
  • the use threatens Cervo, Paddle, another customer, a third party, or the public;
  • suspension is required by law, a competent authority, a payment partner, or an infrastructure provider;
  • Customer Content or activity is unlawful or unauthorized;
  • urgent action is necessary to investigate or contain a security incident.

Where appropriate and legally permitted, we will provide notice and a reasonable opportunity to remedy the issue.

We may act immediately where delay could increase harm, compromise an investigation, violate law, or create material risk.

Termination and effect of termination

You may stop using the website at any time and may cancel a Cervo subscription as described above.

We may terminate access for material breach, non-payment, unlawful use, repeated abuse, security risk, or as otherwise permitted by these Terms & Conditions.

After the subscription or agreement ends:

  • access to paid features may stop;
  • connected AI clients and MCP endpoints may cease functioning;
  • Authorized Users may lose access to the Workspace;
  • you remain responsible for amounts properly due before termination;
  • Customer Content may be retained for a limited period for security, backup, legal, dispute, or operational purposes and then deleted or anonymized according to our applicable policies;
  • you should export any Customer Content you require before access ends, using available functionality;
  • provisions that by their nature should survive will remain effective.

We are not required to retain Customer Content indefinitely after termination.

Disclaimer of warranties

To the fullest extent permitted by law, the website, Cervo, public materials, beta features, support, and related services are provided on an "as is" and "as available" basis.

DeGNZ Labs disclaims all warranties, representations, and conditions not expressly stated in these Terms & Conditions or a signed written agreement, including implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, title, non-infringement, accuracy, availability, or uninterrupted operation.

We do not warrant that:

  • the service will be uninterrupted, error-free, completely secure, or compatible with every system;
  • Customer Content will be free from loss or corruption in every circumstance;
  • an External AI Service will produce accurate, lawful, current, or suitable output;
  • Cervo will satisfy a Customer's specific legal, regulatory, procurement, certification, or compliance requirements;
  • use of Cervo will produce a particular business, financial, operational, or commercial result.

Cervo does not provide legal, financial, medical, employment, tax, compliance, or other regulated professional advice.

Limitation of liability

To the fullest extent permitted by applicable law, DeGNZ Labs and its directors, officers, employees, contractors, affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of:

  • profits;
  • revenue;
  • business opportunity;
  • goodwill;
  • anticipated savings;
  • data;
  • Customer Content;
  • use;
  • business continuity.

This applies whether the claim is based on contract, tort, negligence, strict liability, statute, or another legal theory, and even if the possibility of loss was known.

To the fullest extent permitted by law, the total aggregate liability of DeGNZ Labs arising out of or relating to Cervo, the website, or these Terms & Conditions shall not exceed the total fees paid by the Customer for Cervo during the 12 months immediately preceding the event giving rise to the claim.

The limitations in this section do not exclude or limit liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or willful misconduct where applicable.

Indemnification

To the fullest extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless DeGNZ Labs and its directors, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal expenses arising from or relating to:

  • Customer Content;
  • the Customer's or an Authorized User's breach of these Terms & Conditions;
  • unlawful, unauthorized, or infringing use of Cervo;
  • violation of privacy, confidentiality, intellectual property, employment, data, or other third-party rights;
  • the Customer's configuration or use of an External AI Service;
  • actions taken through the Customer's accounts, permissions, endpoints, or connected agents.

This obligation does not apply to the extent a claim is caused directly by DeGNZ Labs' fraud, willful misconduct, or liability that cannot legally be limited.

Changes to the service and these terms

We may update Cervo, the website, or these Terms & Conditions to reflect:

  • product development;
  • new or removed features;
  • legal or regulatory requirements;
  • security needs;
  • Paddle or third-party service changes;
  • changes to commercial or operational practices.

The current version will be published with an updated date.

Where a change materially affects an active paid subscription, we will provide reasonable notice where required by law or commercially appropriate.

Continued use after an updated version becomes effective constitutes acceptance, except where additional consent is legally required.

Governing law and disputes

These Terms & Conditions are governed by and interpreted in accordance with the laws of Morocco, without prejudice to mandatory legal protections that apply under another law where required.

Before starting formal proceedings, each party should make a good-faith attempt to resolve the dispute through written notice and reasonable discussion.

Any dispute not resolved informally shall be submitted to the competent courts of Morocco, unless mandatory law requires another forum.

Order of precedence

If there is a conflict between documents governing a paid Cervo relationship, the following order applies unless expressly stated otherwise:

  1. a signed enterprise agreement or negotiated master agreement;
  2. an executed Order Form;

  6. public website or marketing content.

Paddle's Buyer Terms and Refund Policy separately govern the commercial transaction processed by Paddle.

Assignment

You may not assign or transfer these Terms & Conditions, an account, a Workspace, or subscription rights without prior written consent from DeGNZ Labs.

DeGNZ Labs may assign these Terms & Conditions in connection with a merger, restructuring, financing, sale of business or assets, transfer of Cervo to an affiliate or successor, or similar transaction.

Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil disorder, labor disruption, internet or utility failure, government action, sanctions, epidemic, infrastructure outage, cyberattack, or third-party platform failure.

This section does not excuse payment obligations already due.

General provisions

If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the affected provision will be interpreted or modified to the minimum extent necessary to make it enforceable.

Failure to enforce a provision is not a waiver.

These Terms & Conditions, together with applicable Orders and referenced agreements, constitute the entire agreement concerning their subject matter and replace prior discussions or representations on that subject.

Nothing in these Terms & Conditions creates a partnership, employment relationship, agency, fiduciary relationship, franchise, or joint venture between the parties.

Headings are for convenience and do not affect interpretation.

Electronic communications, records, and acceptance may be used to form and administer the agreement where permitted by law.
